The present document describes the WEB SITE Terms and Conditions of use of NOVAPROP.COM (hereinafter designated as “TCUs”), available in http:// www.novaprop.com (hereinafter designated as WEB SITE).
Please read these TCUs carefully as soon as you enter the website and/or before using any of its sites and/ or filling any of the registration forms appearing on said WEB SITE.
Access and/or view and/or registration on this WEB SITE indicate that you have read and fully accepted these TCUs with no reservations whatsoever in compliance with the version herein published.

2) What is NOVAPROP.COM?
NOVAPROP.COM is a website which provides access to a wide range of resources, such as various communication tools, forums, purchasing services, customized content and branded programming through real estate available by way of different means or devices (hereinafter designated as “Services”), already existing or likely to be develop in the future.
We do not take part into real estate operations which may be effected between a registered user and/ or viewer of said WEB SITE and the owner or intermediary by reason of the publication of real property appearing herein. Seller shall be liable for all existing obligations and tax burdens pertinent to the purchase of his/her real property and, in no event shall our WEB SITE be held liable for any obligation resulting from non-fulfillment.
You understand and agree that said Services may entail advertising purposes for their provision. You further understand and agree that these Services may entail the use of certain communication tools, such as notices of Services, administrative messages and Novaprop’s Newsletter, all of which are optional and regarded as part of NOVAPROP.COM membership.
You understand and agree that this Service is provided “AS IS” and that, unless otherwise expressed, any new functionality improving or enhancing our Services, such as the introduction of new Novaprop properties shall remain subject to said TCUs.
You are responsible for obtaining access to said Services and for paying all possible third-party charges (such as those of the supplier of Internet access or communication) related thereto, including all charges for the public display or the sending of publicity. You are further responsible for obtaining and maintaining all equipment needed for access to and use of the NOVAPROP Services.
3)Rights and obligations of Users.
a)Legal capacity to enter into any kind of contract.
The Services herein provided are only available to all persons having legal capacity to enter into a contract, with the exception of incapables, minors without the pertinent authorization of their parents, guardians or persons in charge, and any one whose register has been terminated for any reason.
In the case of legal entities, the person representing said entity shall have enough legal capacity both to enter into any contract on its behalf and to bind the same to fulfill said TCUs.
b)Registration.
Use of NOVAPROP.COM Website requires prospective users to fill in all existing forms appearing herein with their personal information which shall be accurate, true and current (hereinafter designated as “Personal Information”) and to update said Information when necessary.
Registered users shall have a personal password to have access to specific Services specially designed for them. The confidentiality of said password shall be maintained at all times and, by no means, it shall be revealed or shared with third parties.
Registered users are responsible for all activities that occur under their e-mail address and password, including the payment of tariffs eventually resulting from the use of certain Services available on this WEB SITE.

4) Infringement of these Terms and Conditions of Use.
Together with other possible steps to take, we shall warn, suspend temporarily or terminate permanently the use of the account of a Registered User and/or take any necessary action if the following were the case:
(a) Infringement of any legal rule currently in force in the Argentine Republic.
(b) Violation of these TCUs and/or the Personal Data protection and Privacy policy (hereinafter designated as “PP”).
(c) Commission of fraudulent and/or criminal acts or behaviour.
(d) Inability to verify the User’s identity.
5) Exclusion of WEB SITE Warranties.
NOVAPROP.COM makes a virtual space available for all Viewers and/or Registered Users in order to: (1) search real estate advertisements by their geographical location and real estate features (2) post real estate ads including their corresponding images or videos (3) have a Personal Account in order to check all existing properties (click on “advertisements” as “Favourites”, send advertisements to friends and acquaintances, submit any question to the owner of the advertisement.)
NOVAPROP.COM is not the owner of the real property herein displayed, neither does it enjoy their possession nor does it sell them or take part in any real estate operation.
All the information regarding said real estate is furbished by the Users of this WEB SITE. Although the entirety of the information herein provided is approximate, only its owners and/or Registered Users who posted their advertisements on this WEB SITE are liable for said information as well as for its marketing.
NOVAPROP.COM does not take part into the closing of the operations effected between Viewers or Users of this WEB SITE and the sellers of the advertised real property and it is not bound by the conditions set forth by them for said operations.
For such reason, User declares to understand and agree that NOVAPROP.COM is not liable for the existence, quality, number, condition, integrity or legitimacy of the real property herein displayed, as well as for the legal capacity of Registered Users to enter into any kind of contract or for the veracity of the personal information provided by them.
User acknowledges and accepts the entire risk as to the operations effected with the owners and/or intermediaries of the property herein displayed.
Under no circumstances shall NOVAPROP.COM be held liable for the loss of profits resulting from interruption of business or for any other damage arising out of an operation held with the owner of a real property herein displayed.

Damages and Losses

6) APPLICABLE LAWS AND JURISDICTION
This Agreement is fully governed by all laws in full force and effect in the Argentine Republic. Any controversy deriving from said agreement, its existence, validity, interpretation, scope or observance is subject to the jurisdiction of the Ordinary Courts of the Autonomous City of Buenos Aires, the corresponding procedures being held in the Spanish language.

ADVERTISEMENTS ON THE WEBSITE.
Any request for the inclusion of real estate advertisements on the website available in http://www.novaprop.com is subject to ease of use, acceptance by NOVAPROP.COM and approval of its content, pictures and/or videos and it is governed by the terms and conditions hereinbelow described:
I.-CHARACTERISTICS OF THE HIRED ADVERTISEMENT
When hiring an advertisement, NOVAPROP.COM allocates the advertiser an internal webpage on the WEB SITE which shall contain: information of the advertiser for his/her contact; a brief description of his/her services; a space for the administration of his/her personal account to facilitate the necessary means for the edition, modification and/or elimination of the content therein posted and to follow up the real estate appearing on the WEB SITE (choose ads as “favourites”, send ads to friends or acquaintances, send an enquiry to other advertisers and receive enquiries about personal ads)
Similarly, NOVAPROP.COM gives the advertiser the possibility to edit his/her own webpage, providing him/her with a username and a personal code.
II.- DURATION OF THE HIRED ADVERTISEMENTS
The duration of the advertisements depends on the kind of property. When a property (such as an apartment, a house, a shed/ship, an office, a parcel of land, a garage, a commercial place/ office, time share properties, and country/village) is first posted, the duration term is of 45 days and the corresponding renovations shall be effected every 30 days. In the case of parcels of land, the duration term is of 60 days, the renovations being effected every 45 days. In the case of Hotels /Inns, the duration term is of 360 days and the renovations shall be effected every one year.
After said terms, all publications will be eliminated automatically by the system if the user did not carry out their renovation. Duration terms take effect from the date NOVAPROP.COM confirms the request. Such confirmation will be reported through a message sent by e-mail to the advertiser, including his/her code to enter the WEB SITE, to register and to complete and/ or modify the information available on his internal webpage.
The advertiser shall duly remove all advertisements related to real property which has already been sold and/ or rented.
III.- STEPS TO POST AN ADVERTISEMENT.
Any Registered User may post his property from the Home Page (click on POST) or, once logged, from the link “My Account”. Please notice that you should first register in NOVAPROP.COM in order to post an advertisement.
Steps:
User shall select the specific location in the “location” space. He/She may enter sections such as neighbourhoods/ districts or areas of a city. The following data shall be included:
- Street;
- Number;
- Apartment(optional);
- Zip Code (optional);
- Kind of property;
- Kind of operation;
- Currency (euro/ dollar).
Fill in all data relating to the property as well as its description and all transcendental details on the publication. Once completed, load the video. To this end, the field Choose Video File appearing next to the Search button will be displayed on the screen, enabling the user to select the video file from his personal computer.
In the event that the video was not available, the site shall create a video file automatically by loading a minimum of three pictures.
Once effected the file selection, the site will proceed to the transference of files signaled by the notice “The Video File is being processed by our system. Please wait”. At this stage, and while the transference is taking place, you shall not close the browser or tab until the completion of the transference process.
In the meantime, if the user wishes so, he/she may open a new browser or tab.
IV.- OBLIGATIONS/DUTIES OF THE ADVERTISER
The Advertiser is bound to:
- provide true and current information on the real property whose ads are requested to be included on the WEB SITE.
- have knowledge of the use of languages, tools, Internet protocols and software regarding the publication of web pages in order to include, edit and/or modify any of the contents appearing on the internal page of the WEB SITE provided by NOVAPROP.COM.
- have the minimum hardware and software necessary for a correct usage of the WEB SITE and of the internal page provided by NOVAPROP.COM and eventually used at the advertiser’s own risk.
- avoid the inclusion of any kind of information relating to or promoting pornography, infringement of local or international laws and/ or of any content which entails the discrimination of a race, religion, ethnia, gender or nationally or implies the infringement of copy rights, trademarks, patents and/or third-party designs.
- avoid to enter or attempt to enter NOVAPROP.COM servers and/or other internal pages of said WEB SITE with no authorization.
V. LIABILITY
The Advertiser hereby deposes that:
a) he/she assumes totally, completely and unconditionally any responsibility deriving from the publication of his/her advertisement, images and/or videos appearing on said WEBSITE
b) he/she warrants the veracity, accuracy and utility of the information to be included on said WEBSITE.
c) he/she compromises to make good use of his/her username and personal password in compliance with strict safety measures so as to prevent any third party from misusing them.
VI. DISCLAIMER OF WARRANTY. LIMITATION OF LIABILITY.
a) NOVAPROP.COM is by no means liable for the possible inaccuracy of the information provided by the advertiser on the WEB SITE, be it personal or from any third party, not even for the result of the decisions made by the users about the material they post, be it editorial, video or advertising.
b) NOVAPROP.COM is not liable for the control of the information provided by the advertiser under his username and personal password.
c) NOVAPROP.COM makes no warranty as to the connection, transmission or results that may be obtained from the use of any Internet connection, equipment or installations available to any one viewing the contents of said website, and it is not liable for any damage caused to the advertiser or to third parties resulting from the inability to access the WEB SITE. The Advertiser expressly agrees that NOVAPROP.COM cannot warrant the continuity and availability of the WEB SITE server and/ or its internal page granted to said advertiser as a result of eventual problems on the Internet, failures in the servers and other unpredictable contingencies. Accordingly, the advertiser expressly agrees not to hold NOVAPROP.COM liable for any contractual or tortuous obligation, and/ or for the damages and losses resulting from failure of performance, delay in operation or errors in the access to said WEBSITE and/or the internal page granted to the advertiser due to network problems, failures in the servers and other unpredictable contingencies.
d) NOVAPROP.COM is not liable for the accidental loss or the elimination of data, irrespective of the reason. Accordingly, NOVAPROP.COM does not warrant the restitution of information. The advertiser expressly agrees that, in such cases, the provision of a safety copy to restitute the information is at his sole risk.
e) Should NOVAPROP.COM be held liable for any failure of the advertiser to comply with the publication of the hired advertisement, the advertiser will have the right to receive the proportional payment of the total amount of money paid by the advertiser as a compensation for damages and in accordance with the period of time spent since the inclusion of the ad on said WEB SITE. In no event shall the advertiser hold NOVAPROP.COM liable for any damages resulting from the total or partial loss of information, business interruption or third-party damages, be them direct or indirect.
VII.- INTERRUPTION OF SERVICE
NOVAPROP.COM reserves the right to carry out programmed interruptions of the WEB SITE service for maintenance or reparation tasks in the equipments and accessories through which said service is provided.
NOVAPROP.COM is not liable for the failures in performance if these were to exceed its reasonable control.
